TERMS & CONDITIONS: You agree to be invoiced by email
ONLY at the EMAIL ADDRESS you provided above. No paper or other invoice
will be sent. You further agree to pay the amount indicated in the
"TOTAL RATE" column/box plus any applicable taxes within 30 days of
the session regardless of usage, non usage, payment by your client,
etcetera, otherwise a late payment charge of 2%, compounded monthly,
will apply. Some performers may charge Goods and Services Tax, (GST),
in addition to the scheduled rate; you will be invoiced for this amount,
if applicable, on top of the rate specified in the "TOTAL RATE" column/box,
without further notice. It is mutually understood that all services
ordered by you shall be direct transactions and obligations between
you and the performer you booked, and not subject to confirmation,
approval, or payment of your client or other third party. The performer
booked reserves and maintains all rights to the products and services
until full payment for services are received, after which time you
will own the full rights to the project in perpetuity, and further
residual payments will not be required for continued use of the project
for the purpose for which it was bought, regardless of the length
of time it is used for; other usage, in whole or in part, could result
in additional fees being charged. In the event an individual invoice
is not paid in full within sixty (60) days of the session, that invoice
and the project covered shall be considered in default and in breach
of the agreed upon terms and conditions. In such case, all rights
for continued use of the product and services are suspended until
payment in full is received by the performer. Media in market of usage
and/or the end user of said recordings, may be so notified of such
suspension, and you accept full responsibility for all expenses, including
legal fees, court costs, etc incurred by VOX TALENT Inc. and/or the
performer in the collection of this delinquency and/or its enforcement
of its copyrights and remedies. It is mutually understood that VOX
TALENT Inc. is acting as an agent on behalf of the performer you booked,
in regards to booking, scheduling, and invoicing only, therefore you
understand that you are booking this session with the performer specified
and not with VOX TALENT Inc. VOX TALENT Inc. is therefore not responsible
for any actions/inactions, inabilities/incompatibilities of said performer.
All services ordered are deemed contracted within and subject to the
laws of the Province of Ontario, Canada and that the City of Toronto
is the forum of execution, performance, payment, law, and remedy for
any breach, default, or delinquency. This contract cannot be modified
or cancelled within 6 hours of and/or during or after a session. Submission
of this form does not guarantee the availability of the performer(s)
you have requested. VOX TALENT INC. and/or its performers will not
be held responsible if the performer(s) you have requested are not
available on the date and/or time that you have requested, regardless
of whether or not the schedule on our website, or schedule information
given verbally or by other means by an agent indicates that they are
available. In the event that more than one request for the same performer
at the same date and/or time is received by the agency, the request
that is received first shall be given precedence.
